Valbridge Trust will guide you through the whole process from initial assessment through to the setting up of the new entity:
  • Preliminary assessment of the feasibility of the deal and broad strategy formulation;
  • Negotiations with the vendor either as ‘front men’ or as behind the scenes advisors;
  • Selection of ‘short list’ equity and /or debt providers, crafting of the proposal documents, negotiations with the funders and assisting the management team in choosing their final equity and /or debt structure and partners;
  • Oversight of contracts;
  • Advice on management & shareholder structure and agreements;
  • Assistance with negotiation and drafting of the shareholders’ agreement;
  • Assessment of the proposed team and advice on the final composition of the team;
  • Oversight of the selection of employee benefit providers, if required;
  • Identification and introduction of credible, value adding black shareholders and non-executive directors;
  • Provision of an experienced ,non-executive director; and
  • Assistance and advice with the equity funder’s exit strategy, if required and setting the strategic direction for the new entity.
